A shareholder dispute is a conflict that arises between shareholders or between shareholders and the company's directors. These disputes can relate to breach of the shareholders' agreement, financial mismanagement, exclusion from decisions, share valuation disagreements, or oppressive conduct by the majority towards a minority shareholder.

As a minority shareholder in NSW, you have rights under the Corporations Act 2001 (Cth), including the right to access company financial records, the right to receive dividends declared by the company, and the right to seek court relief under sections 232–233 of the Corporations Act if you are being subjected to oppressive, unfairly prejudicial, or unfairly discriminatory conduct.

No. Rent can only be increased according to the rent review provisions in your lease. For retail leases in NSW, the Retail Leases Act limits how rent reviews can be conducted. If your landlord increases rent outside these provisions, you may have grounds to challenge it.

A 50/50 shareholder dispute, where two shareholders each hold equal voting power and cannot agree, is resolved by first reviewing the shareholders' agreement for a deadlock resolution mechanism. If none exists, the parties may pursue mediation, apply to the court for orders (including a forced buyout), or, in extreme cases, apply for winding up of the company on just and equitable grounds.
