How to Recover Unpaid Invoices in NSW: The Debt Recovery Process

Late payment is one of the most under-discussed economic pressures on Australian small businesses. The Australian Small Business and Family Enterprise Ombudsman has repeatedly identified late payment as a leading contributor to SME failure, with research from Xero and the Reserve Bank of Australia showing the average small business carries tens of thousands of dollars in overdue invoices at any given time.

The economic impact is well documented. The legal response- the actual sequence of steps a business should take to recover what it is owed- is poorly understood. Most owners default to follow-up emails, then phone calls, then silence. By the time they engage a lawyer, the debtor has either gone, restructured, or stopped responding entirely.

The economic case for acting early

Every day an invoice goes unpaid imposes three costs on a business: the opportunity cost of capital tied up in receivables, which is the cash you cannot use to pay suppliers, staff, or growth; the cost of recovery effort, in staff time, lost focus, and missed sales calls; and the risk of non-recovery through debtor insolvency, asset transfers, or simple disappearance.

The third cost compounds the fastest. ASIC data shows that small business creditors recover only a small fraction of debts owed in formal insolvency proceedings. By the time a debtor enters administration, the practical chance of full recovery is low. The off-ramp is acting before the debtor has time to dissipate assets or restructure.

Step 1: get the terms right before the invoice is issued

Most debt recovery problems are created at the contract stage, not the invoice stage. A properly drafted commercial agreement should include:

  • Clear payment terms (net 7, 14, or 30 days), with the trigger date defined (invoice date versus delivery date)
  • Interest on overdue amounts, typically the Reserve Bank cash rate plus 4 to 6%, charged daily on the outstanding balance
  • A recovery costs clause, making legal and collection costs payable by the debtor on a solicitor-and-client basis
  • Personal guarantees. For new corporate customers without a trading history, a director’s personal guarantee is one of the most effective protections available
  • PPSA registration. For businesses supplying goods on credit, a registration on the Personal Property Securities Register can secure priority over other creditors if the customer becomes insolvent.

Without these clauses, you absorb the cost of chasing your own money. With them, you hold the stronger position from day one.

Step 2: internal follow-up (day 1 to 30 overdue)

Internal follow-up should be professional, dated, and documented. Three escalating reminders by email and phone within the first 30 days of overdue status are standard. The objective is not just to ask for payment. It is to build a record of demand that supports later legal action. Document every conversation: dates, names, promises made, and reasons given.

Step 3: formal letter of demand (day 30 to 45)

A letter of demand is the formal pivot point from commercial follow-up to legal process. It should set out the debt clearly with invoice numbers and dates, reference the underlying contract or supply terms, demand payment within a specified period (typically 7 to 14 days), state the intended next step if payment is not made, and be sent on a lawyer’s letterhead where possible, which materially increases the response rate. A significant proportion of debts are resolved at this stage, as much for psychological reasons as legal ones: the debtor now understands the creditor is willing to pursue legal action.

Step 4: creditor’s statutory demand (for company debtors)

For debts owed by an incorporated company of $4,000 or more, a creditor’s statutory demand under section 459E of the Corporations Act 2001 (Cth) is among the most powerful tools available. The demand requires payment within 21 days; if the debtor does not pay or apply to set aside the demand within that period, it is presumed to be insolvent, entitling the creditor to apply to wind up the company.

The strategic effect is significant. A statutory demand puts the company’s existence on the line, not just its bank balance. Most companies pay rather than face winding-up proceedings. Statutory demands cannot be used for genuinely disputed debts, because courts will set aside a demand where there is a genuine dispute, and a costs order may follow. The underlying debt must be clear and undisputed.

Step 5: court proceedings (day 60 and beyond)

If the debt remains unpaid, court proceedings are the next step. In NSW, the Local Court handles claims up to $100,000 (lower fees, faster process, suitable for most SME debts); the District Court handles claims up to $750,000 (more formal, higher fees, longer timelines); and the Supreme Court handles claims above $750,000 or matters of significant complexity. Filing fees and legal costs scale with the size of the claim. Most matters settle before hearing, but the threat of judgment focuses the debtor’s mind in a way correspondence cannot.

Step 6: enforcement of judgment

A judgment is not money in the bank. It is a court order that allows the creditor to take steps to enforce payment. The main options in NSW are an examination summons (compelling the debtor to disclose their financial position), a garnishee order (directing the debtor’s bank or employer to pay the creditor directly), a writ of execution against property (authorising the sheriff to seize and sell goods), and bankruptcy or winding-up proceedings for debts above the statutory threshold. The enforcement strategy depends on what the debtor owns and where. Pre-judgment investigation of debtor assets is often worth the cost.

  • Waiting too long. The longer the debt sits, the harder recovery becomes.
  • Confusing dispute with delay. A debtor who will not pay is different from one who cannot pay, and the legal strategy differs.
  • Issuing a statutory demand on a disputed debt, which results in the demand being set aside and a costs order against the creditor.
  • Pursuing a debtor with no recoverable assets. Judgment against an empty shell is a Pyrrhic victory.
  • Failing to register interests under the PPSA, leaving an unsecured creditor ranking behind secured ones in insolvency.
